    Metaplanet has cancelled 41% of the shares associated with its Series 10 warrants, removing more than US$220 million (AU$307.8 million) in potential warrant value as the Bitcoin treasury company revises the terms of an agreement established a year ago.\u00a0<\/p>\n

    CEO Simon Gerovich outlined the changes in a letter to shareholders posted on X, saying the revised warrant structure reflects Metaplanet\u2019s evolving capital strategy.<\/p>\n

    The company\u2019s board has reset the conversion ratio attached to the stock acquisition rights. The move comes as Metaplanet continues its transition from a \u201cstruggling Japan-centric hotel operator into a global Bitcoin treasury company\u201d, Gerovich said. The CEO, who holds Series 10 rights, recused himself from the board vote.<\/p>\n

    When Metaplanet conducted its international share offering in September 2025, the Series 10 conversion ratio was ultimately set at 1:696. Following the company\u2019s rapid expansion, the board has now reset the ratio to 1:410, broadly returning it to the level in place before the offering.<\/p>\n

    The change reduces the number of shares that could be issued through the warrants. Metaplanet estimates that Bitcoin held per fully diluted share will increase by approximately 8.8% as a result.<\/p>\n

    The board said the change reflects the company\u2019s development since the offering. Before the capital raise, Metaplanet\u2019s enterprise value was driven largely by the execution of its existing strategy. Since then, a greater proportion of its growth has come through access to larger pools of capital, creating a different basis for value creation and prompting the board to reassess the potential dilution for existing shareholders.<\/p>\n

    The company has also introduced additional exercise conditions for unvested warrants. The remaining warrants will be divided into three groups, with vesting scheduled for 2029, 2030 and 2031. A five-year lock-up agreed last month will remain in place.<\/p>\n

    Metaplanet has also cancelled 20% of the warrants that had been allocated to a proposed employee incentive pool. The cancelled warrants will not be redirected elsewhere and form part of the broader 41% cancellation. The company said it plans to develop a new compensation structure with the assistance of an external consultant.<\/p>\n

    The changes come as Metaplanet continues to expand its corporate and governance structure. The company has added five board members across its past two annual general meetings, bringing the number of independent directors to nine out of 10.<\/p>\n

    A Global Bitcoin Player<\/h2>\n

    Gerovich also mentioned Metaplanet\u2019s fast development:<\/p>\n

    Against that backdrop, the revised warrant terms represent a significant effort to limit potential shareholder dilution as Metaplanet expands beyond its Tokyo-listed origins.<\/p>\n

    Gerovich has presented the changes as part of the company\u2019s broader effort to align its capital structure with its stated strategy. The extent to which investors view the move as evidence of greater capital discipline, or as a response to concerns over dilution, is likely to become clearer in the company\u2019s share price in the coming sessions.<\/p>\n
