    Nasdaq deepens Kraken ties with proposed $100 million Payward investment

    Nasdaq has agreed to invest $100 million in Payward, the parent company of Kraken, while Payward plans to adopt Nasdaq market-surveillance technology across its trading businesses. The two moves add capital and market-integrity infrastructure to an existing partnership focused on tokenized equities.

    The proposed investment, made through Nasdaq Ventures, gives the relationship a new financial dimension. Nasdaq and Payward also said they will continue developing the operational and commercial systems for planned Nasdaq Equity Tokens, or NETs.

    According to the companies’ announcement, Payward will deploy Nasdaq surveillance tools across a portfolio of trading venues that includes crypto, equities, tokenized equities, futures and options. That expands the relationship beyond the planned distribution and settlement framework for NETs and into technology used to monitor trading across several markets.

    The announcement describes an agreement to invest, not a completed transaction. It does not disclose a closing date, Payward valuation, ownership percentage or governance rights for Nasdaq. The available terms therefore do not establish how much influence Nasdaq could gain over Payward.

    The partnership predates the investment. In March, the companies announced plans for an equities transformation gateway connecting Nasdaq’s proposed issuer-sponsored tokens with Payward’s xStocks tokenized-equity ecosystem in eligible jurisdictions.

    The Sept. 10 release says the next phase will advance the global distribution, trading and post-trade capabilities needed to support the planned tokens. Coupled with the surveillance agreement, that places Payward in both the transaction infrastructure and monitoring layers of the project. It does not specify which Payward venues will implement the tools first or when deployment will be complete.

    The distinction between the two sides of that gateway is important. Nasdaq has described NETs as issuer-sponsored tokens intended to preserve issuer control and the legal and regulatory rights of the underlying shares. Payward’s xStocks provides the ecosystem the companies plan to connect with that design. The investment announcement does not say it changes the rights attached to existing third-party tokenized-stock products, so those products should not be treated as equivalent to NETs.

    Nasdaq and Payward now expect NETs to launch in the second quarter of 2027. The fresh agreement does not put those tokens into circulation today, but it does make Payward a more deeply embedded partner in the planned system: a gateway and settlement participant for NETs, a customer for Nasdaq’s surveillance stack and the subject of a proposed $100 million Nasdaq investment.

    For Kraken’s tokenized-equity push, the immediate change is stronger institutional alignment around infrastructure that is still being built. The next test is whether Nasdaq and Payward can turn that expanded relationship into an operational bridge between issuer-sponsored tokens and onchain markets on the stated 2027 timetable.
