Metaplanet is extending its Bitcoin treasury strategy into the US through a proposed investment in Nasdaq-listed Super League Enterprise. The Japanese company will transfer 2,100 BTC, worth about US$132.1 million (AU$186.26 million), plus US$2.5 million (AU$3.52 million) in cash to the gaming media company.
The contribution will be exchanged for common shares, preferred stock and warrants, with Metaplanet receiving 44,859,400 common shares at US$3 (AU$4.23) each. Once the transaction closes, Super League will become Superplanet, Inc., with Metaplanet holding about 95.7% of its common stock. The company will remain listed on Nasdaq and keep its existing advertising and media activation operations as a distinct segment.

The arrangement gives Metaplanet a second listed platform for its Bitcoin treasury activities, alongside its Tokyo Stock Exchange listing. The company currently holds 43,000 BTC, while the 2,100 BTC contribution accounts for approximately 4.9% of those holdings. Superplanet intends to make Bitcoin a primary component of its long-term shareholder value strategy and may use the assets as collateral for future preferred stock offerings.
Metaplanet will have an option to provide up to another US$210 million (AU$296.1 million) through non-convertible junior liquidity preferred stock over 24 months. It will also receive ten-year warrants covering up to 381 million additional shares, with exercise prices ranging from US$3 (AU$4.23) to US$33.50 (AU$47.235). The transaction is expected to close during the fourth quarter of 2026, subject to shareholder approval and regulatory requirements in the US and Japan.
